Net Insight AB has outstanding employee stock option plans as follows.

The employee stock option plan of 2007 (approved at annual general meeting, April 26, 2007)

Comprises 7,500,000 employee stock options. The employee stock options may be exercised to acquire not more than 7,500,000 shares. 6,426,667 of these employee stock options are outstanding (allocated minus matured and exercised) as of June 30, 2010. The exercise price of the warrants is SEK 7.10, and the duration period is up to and including April 26, 2011.

The employee stock option plan of 2009/2013 (approved at annual general meeting, April 28, 2009)


Comprises 6,500,000 employee stock options. The employee stock options may be exercised to acquire not more than 6,500,000 shares. 6,220,000 of these employee stock options are outstanding (allocated minus matured and exercised) as of June 30, 2010. Allocation shall be made during the period from the tenth banking day following the announcement of the quarterly report for the first quarter 2009 up to the annual general meeting 2010. The exercise price of the warrants is SEK 5.70, and the duration period is up to and including May 28, 2013.

 

Principles for remuneration and other terms of employment for Net Insight's executive management

The senior executives are offered market-based remuneration and terms of employment. Actual levels of remuneration are determined on the basis of factors such as expertise, experience and performance. The total remuneration package consists of fixed base salary, variable salary, employee stock options and pension benefits.

The variable pay is based on financial performance targets for the company as a whole (70%) and on individual performance targets (30%).
